Welcome to FM Security Solutions LTD (“the Company”, “we”, “us”, “our”). These Terms and Conditions (“Terms”) govern your use of our website (fmsecuritysolutions.co.uk) and the purchase or provision of our Security, Cleaning, and Facilities Management services.
By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.
1. Definitions
- “Client” (“You”, “Your”): The individual, firm, or company purchasing services from FM Security Solutions LTD.
- “Services”: The Security, Cleaning, and/or Facilities Management services provided by the Company as outlined in the Service Agreement.
- “Service Agreement”: The formal contract, quotation, or written proposal signed or agreed to by both parties detailing the specific scope of work, rates, and duration.
2. Website Use & Intellectual Property
- The content, layout, design, data, databases, and graphics on this website are protected by UK and international intellectual property laws. You may not copy, reproduce, or distribute any part of this website without our prior written consent.
- The website must be used for lawful purposes only.
3. Service Provisions & Client Obligations
All services are subject to a written Service Agreement. To allow us to perform our duties effectively, the Client agrees to:
- Access: Provide safe, uninterrupted access to the designated premises at the agreed times.
- Utilities: Provide free access to essential utilities (including running water, electricity, and heating as necessary) to enable our staff to carry out their duties safely.
- Safe Working Environment: Maintain the premises in compliance with the Health and Safety at Work etc. Act 1974, ensuring our operatives are not exposed to unnecessary risks.
- SIA Licensing Compliance: For security services, we warrant that our personnel are SIA-licensed where required by law.
4. Financial Terms & Payments
- All prices are subject to VAT at the prevailing rate unless specified otherwise.
- Invoices must be settled in accordance with the payment terms specified in your Service Agreement (typically within 14 or 30 days of invoice date).
- We reserve the right to charge interest and recovery costs on overdue payments under the Late Payment of Commercial Debts (Interest) Act 1998.
- We reserve the right to suspend all services immediately if any invoice remains unpaid past its due date.
5. Cancellations & Terminations
- Ad-Hoc/One-Off Services: Cancellations must be made in writing at least 48 hours prior to the scheduled start time. Cancellations made within 48 hours are subject to a cancellation fee equivalent to 50% of the quoted service value. Cancellations made within 24 hours are billed at 100%.
- Long-Term Contracts: Termination notice periods are defined in individual Service Agreements. Where not specified, the standard notice period is three (3) calendar months, provided in writing by either party.
6. Liability and Warranties
- Security Services: While our security personnel act as a strong deterrent, we do not guarantee that our presence will prevent all loss, damage, theft, or unauthorized entry. Our liability is limited to performing our duties with reasonable care and skill.
- Cleaning & FM Services: We are fully insured against public liability and property damage. Any claims for damage caused by our staff must be reported to us in writing within 24 hours of the incident, supported by photographic evidence.
- General Cap on Liability: Our total liability in contract, tort (including negligence), or otherwise arising in connection with the performance of our services shall be limited to the total amount paid by the Client to us for the specific service in question during the 12 months preceding the claim. We are not liable for any indirect, special, or consequential losses (such as loss of profit or business disruption).
7. Governing Law
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
